Board of Directors Meeting Minutes

Wednesday, June 15, 2022, 7:30pm

Boylston Chess Club, 40 Norris St., Cambridge, MA and via Zoom

 

ATTENDEES: Andrew Hoy (President), Steven Winer (Vice-President), Robert Messenger (Treasurer, Membership Secretary), Jeffrey Caruso (Clerk), Directors Alonzo Ross, Elsie Smits, and Yi Wang, and MACA Member Igor Klempf (later Director).  Directors Dmitry Barash and Nicholas Sterling joined later.

CALLED TO ORDER at 7:35 p.m.

1. Minutes

MOTION (AH/RM): to approve the minutes of the May 18, 2022 Executive Board meeting, and the minutes of the May 30, 2022 Annual Membership Meeting.  Passed 7-0.

2. Resignation from the Board

Director Paul Arond communicated with the Board submitting his resignation, effective immediately. 

MOTION (AH/RM): To appoint Igor Klempf to the vacancy created by the resignation of Mr. Arond.  Passed 7-0.

Mr. Klempf joined the meeting as a Director.

3. Treasurer’s Report and Membership Report

Mr. Messenger presented the financial reports for recent tournaments (attached), including the Girls Invitational and three other tournaments:

-        The Spiegel Cup Final operated at a loss (as expected, there being no entry fee). 

-        The Massachusetts Open did better than the October tournament despite not relying on separate donations. 

-        The Hurvitz Cup did well with an increased entry fee. 

Mr. Barash joined the meeting.

Mr. Messenger also presented the membership report (attached). With the recent tournaments, MACA membership numbers have jumped to pre-pandemic levels.

4. Club updates

Mr. Hoy reported that the Boylston Chess Club is moving to Boston sometime in the Fall. MetroWest Chess is targeting a January 2023 re-opening, probably in a new venue.  Worcester Chess Club does not yet have a re-opening date, due to continue concern about COVID.

5. Committees and Coordinators

Mr. Sterling joined the meeting.

6. Official deadlines

Mr. Hoy reviewed the official documents that need to be filed:  our IRS Form 990 (by September 15), Massachusetts Corporate Annual Report (by November 1), and Massachusetts Form PC (by September 15).  Our insurance renews at the end of June and has already been renewed by the Treasurer.

New Board members are requested to provide a postal address to the Clerk for the annual report.

7. Executive Session

The Board met in Executive Session from 8:55 p.m. to 9:40 p.m.

8. Next meeting

Unanimous consent motion (AH): the next meeting will take place on Tuesday, July 19, 2022, at 7:30pm at the Boylston Chess Club, 40 Norris St., Cambridge, MA.  Passed without objection.
